Terms and Conditions
We believe good work starts with clear agreements. These terms describe how we approach projects, production and delivery, so everyone knows what to expect along the way.
1. Scope of work
Each project is defined by a quotation or written agreement outlining the scope, deliverables, timeline and budget. The quotation forms the basis of the collaboration.
Concept, script and creative development may be budgeted separately from production. Unless agreed otherwise, these phases are invoiced after completion of the respective phase.
Requests that extend beyond the agreed scope, such as additional deliverables, new concepts, extra shoot days or expanded usage requirements, may affect planning, timelines and costs and will be discussed and approved before execution.
2. Fees and payment
Fees and payment milestones are specified in the quotation. Concept and pre-production services may be invoiced separately from production.
For production budgets exceeding €5000, payment is typically split into 50% at the start of pre-production and 50% upon delivery, unless agreed otherwise. The start of pre-production may include crew booking, location scouting and scheduling.
Invoices are payable within the stated payment term. Syrup will send reminders in case of overdue invoices. Continued non-payment may result in statutory interest and collection costs as permitted by law.
3. Production process and scheduling
Project timelines depend on timely feedback, approvals and delivery of materials by the client. Delays in these may result in adjusted timelines without liability for Syrup.
Typical shoot durations are planned around:
• Half day: up to 5 hours including travel
• Full day: up to 10 hours including travel
Time exceeding the agreed duration may be billed as overtime. Overtime may result from extended shooting, travel, schedule delays, additional requests or circumstances outside Syrup’s control.
4. Revisions
Unless otherwise agreed, up to four revision rounds are included per deliverable. A revision round refers to consolidated feedback provided at one time.
Revisions are intended for refinement of the agreed concept, edit or design. Feedback that introduces new direction, significant structural changes or additional deliverables may be treated as additional work and quoted separately.
5. Usage and intellectual property
Upon full payment, the client receives the right to use the final deliverables for commercial purposes across channels, territories and platforms, unless otherwise specified in writing.
Syrup retains ownership of underlying materials, including raw footage, project files, source assets and working documents.
Raw footage and project files may be made available upon request. Availability depends on third-party rights and technical feasibility and may be subject to a separately agreed fee.
6. Third-party rights
Projects may involve third-party contributors such as freelancers, performers, composers or licensors. Certain materials may therefore be subject to their rights, terms or usage limitations.
Responsibilities regarding music licensing, talent usage or additional rights will be agreed per project where relevant.
7. Cancellation and postponement
Cancellation or postponement of scheduled production may incur costs due to booked crew, locations, equipment and preparation time.
Typical cancellation terms are:
• 72 hours before production: up to 25% of booked crew and equipment costs
• 48 hours before production: up to 50%
• 24 hours or less before production: up to 100%
If a project is terminated after work has started, Syrup is entitled to payment for completed work and any committed costs.
8. Freelancers and crew
Syrup operates with a flexible network of collaborators and may engage freelancers, suppliers or partners where appropriate. Crew composition may change due to availability, planning or project needs while maintaining agreed quality and responsibility.
9. Storage and archiving
Project files and raw materials are stored for up to 12 months after delivery unless otherwise agreed. Clients are advised to download and archive deliverables upon receipt.
While Syrup takes reasonable care in storing materials, Syrup is not liable for data loss beyond reasonable control, including technical failure or storage limitations.
Final deliverables may be retained for portfolio and reference purposes where possible.
10. Portfolio use
Unless otherwise agreed, Syrup may use produced work for portfolio, promotional, educational and editorial purposes, including website, social media and presentations.
Confidential projects or embargo periods will be respected when communicated in advance.
11. Liability
Syrup’s liability is limited to the value of the relevant project agreement. Syrup is not liable for indirect, consequential or business-related damages, including loss of revenue, profit or opportunity.
12. Unforeseen circumstances
Sometimes events outside anyone’s control can affect production. Syrup is not responsible for delays or inability to perform caused by circumstances beyond reasonable control, including illness, weather conditions, location restrictions, technical failures or third-party issues.
Where possible, Syrup will work with the client to find alternative solutions or adjusted planning.
13. General
These terms apply to all Syrup services unless otherwise agreed in writing. Specific project agreements may override parts of these terms where explicitly stated.
